Non Disclosure Agreement

 

A non-disclosure agreement (NDA), also known as a confidentiality agreement, confidential disclosure agreement (CDA), proprietary information agreement (PIA), or secrecy agreement, is a legal contract between at least two parties that outlines confidential materials or knowledge the parties wish to share with one another for certain purposes, but wish to restrict access to.

It is a contract through which Maxon Industries Limited and the inventor (you) agree not to disclose information covered by the agreement. An NDA creates a confidential relationship between the parties to protect any type of confidential and proprietary information or a trade secret.

This agreement protects you from us using your idea, it is there to help the process of developing your idea into a saleable product, and a successful partnership.

If we are to help you, we need to understand the processes used in your business, or about your idea for the purpose of evaluating the potential business relationship. Our Non Disclosure Agreement is "mutual", meaning both parties are restricted in their use of the materials provided for total peace of mind.

A very complex chassis structure produced for a world-renowned excavator manufacturer.
We worked with the design department to select suitable materials that could easily be sourced in the Far East. We also oversaw life testing and provided valuable input to complete the final design.

Excavator Project

Samples were produced form laser cut blanks and hand forming to avoid tooling costs. Once the final design was completed we produced all the necessary tooling and weld jigs to complete production on a controlled and efficient assembly line.


We worked continually with the factory to improve welding techniques, instigated training regimes and liased with the customer with regards to ongoing changes and improvements to final production.


Although a lot of the tooling costs were paid by the customer we negotiated additional tooling costs to be spread over the cost of supply. All our costs were recovered through supply of finished goods and management of the supply chain from order, through to to the door delivery.
